Terms of Service
End-User License Agreement

These Terms of Service and End-User License Agreement (collectively, the "Terms") govern your access to and use of the 10ex.dev website, services, and the 10ex.dev QuickBooks Online integration (collectively, the "Service") provided by 10ex.dev ("10ex," "we," "us," or "our"). By accessing the Service or connecting a QuickBooks Online account, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. License and Access
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We may modify, suspend, or discontinue any part of the Service at any time.
2. The QuickBooks Online Integration
The Service includes an optional integration that connects to your QuickBooks Online account via Intuit's OAuth2 authorization flow to provide automated transaction categorization and monthly profit-and-loss reporting. Your use of QuickBooks Online and Intuit's services remains subject to Intuit's own terms and policies. You are responsible for maintaining the accuracy of your accounting data and for verifying any output the Service produces.
3. Acceptable Use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- connect accounts or data you are not authorized to access, or infringe the rights of any third party;
- attempt to gain unauthorized access to, interfere with, or disrupt the Service, its infrastructure, or other users;
- reverse engineer, decompile, or attempt to derive the source code of the Service except as permitted by law;
- use the Service to transmit malware or to engage in fraudulent, abusive, or harmful activity.
You are responsible for all activity that occurs under your account and for maintaining the security of your credentials.
4. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output — including automated categorization or financial reporting — will be accurate, complete, or suitable for tax, accounting, or financial decision-making. You are solely responsible for reviewing and validating all output before relying on it.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 10EX OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
6. Indemnification
You agree to indemnify and hold harmless 10ex and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.
7. Termination
You may stop using the Service at any time and may disconnect the QuickBooks Online integration by revoking access in QuickBooks Online. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including disclaimers, limitations of liability, and indemnification — will survive.
8. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
9. Governing Law
These Terms are governed by the laws of the jurisdiction in which 10ex is established, without regard to its conflict-of-law principles. Any disputes will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.
